1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of CORPIUS, including our website https://corpius.net (the "Site"), and all services we provide, including but not limited to:
- U.S. Business Formation Services (C-Corporation, S-Corporation, LLC, Nonprofit)
- EIN application assistance and IRS filing support
- Corporate compliance and annual maintenance services
- Income Tax Filing & Planning for individuals and businesses
- Bookkeeping, expense categorization, and document review services
- All consultations, communications, and digital tools offered through our platform
By accessing the Site or using any Services, you agree to be legally bound by these Terms. If you do not agree, do not use the Site or Services. These Terms form a legally binding agreement between you and CORPIUS.
2. Changes to Terms
We may update, revise, or modify these Terms at any time. Updated versions will be posted on the Site with a new "Last Updated" date. We may also notify users by email or banner when legally required. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
3. Description of Services
CORPIUS provides comprehensive business, corporate, and tax-related services:

- Personal and business federal and state tax preparation
- 12-month bank statement analysis
- Business income/expense categorization
- Prior-year tax filing (1040, 1040-NR, 1099, W-2, 1065, 1120-S, 1120)
- IRS and state compliance assistance
- Estimated tax strategy and planning
3.3 Document Processing & Verification
Secure upload of IDs, bank statements, tax documents, corporate documents, contracts, invoices, and receipts.
3.4 Advisory & Professional Support
Corporate formation consultation, tax preparation guidance, compliance education, and customer and administrative support.
We reserve the right to expand, modify, or discontinue Services.
4. Eligibility
To use CORPIUS Services, you must:
- Be at least 18 years old
- Have legal capacity to enter into binding contracts
- Provide accurate, truthful, and complete information
- Be authorized to act on behalf of your business (if applicable)
CORPIUS may refuse service to any user for fraud, abuse, suspicious activity, or violation of these Terms.
5. Not Legal, Tax, or Financial Advice (Critical Disclaimer)
CORPIUS provides document preparation, filing support, and tax preparation services, but does not provide legal, financial, investment, or tax advice, unless explicitly performed by a properly licensed professional under a separate written engagement.
Nothing on the Site constitutes legal advice, attorney-client relationship, fiduciary duty, professional tax or financial guidance, or guarantees of tax outcomes or government approval.
You remain solely responsible for obtaining independent legal and tax counsel when needed.
6. Client Responsibilities
You agree to:
- Provide accurate, truthful, complete information
- Upload legible and correct documents
- Respond promptly to email or phone requests
- Review and confirm all drafts before submission
- Approve any filings before they are finalized
CORPIUS is not responsible for delays, rejections, penalties, or tax consequences caused by incorrect, incomplete, or fraudulent information provided by you; missing or late documentation; failure to review drafts before filing; or failure to comply with state or IRS deadlines.
7. Payments, Fees & Billing
7.1 Pricing
All prices listed on the Site are in USD. Prices may change at any time without notice.
7.2 Billing
By purchasing a service, you authorize CORPIUS (and its payment partners) to charge your selected payment method for service fees, government/state filing fees, third-party costs, and optional add-ons you select.
7.3 No Chargebacks for Completed Work
Due to the nature of formation and tax services, chargebacks for completed work, partially completed work, or work already submitted to government agencies are strictly prohibited. Attempting a fraudulent chargeback may result in account termination and legal action.
8. Refund Policy
Refunds are not guaranteed and may be issued only at CORPIUS's sole discretion. No refunds for: completed or partially completed filings, EIN submissions, tax returns in progress or filed, state/government filing fees, document-preparation work already performed, and missed deadlines caused by the client. 9. Document Uploads & Data Accuracy
By uploading documents, you certify that you are legally authorized to provide these documents, all information is accurate and truthful, you understand that incorrect or fraudulent documents may cause delays, rejection, or legal risk, and CORPIUS may refuse service for suspicious or altered documents.
10. Use of AI, Automation & Digital Tools
We use advanced AI, OCR, automation pipelines, and verification tools to process your bank statements, categorize expenses, analyze documents, generate filing drafts, and enhance accuracy and efficiency. AI tools do not make legal or tax decisions autonomously. A qualified human reviews final outputs before filing. You authorize CORPIUS to process your data with such tools solely for service delivery.
11. Intellectual Property
All content on CORPIUS, including text, graphics, branding, logos, UI/UX, videos, workflows, documentation, templates, and software code, belongs to CORPIUS and is protected under U.S. and international intellectual property laws. You may not copy, reproduce, modify, or distribute any materials without written permission.
12. Prohibited Activities
You agree NOT to:
- Use the Site for unlawful purposes
- Submit fraudulent or altered documents
- Attempt unauthorized system access
- Scrape, harvest, or collect user data
- Upload harmful files or malware
- Misrepresent your identity or business details
- Use Services to commit tax evasion, fraud, or misrepresentation
- Reverse engineer, modify, or exploit CORPIUS systems
Violation may result in immediate termination and legal action.
13. Third-Party Integrations & Government Filings
Our Services rely on third-party platforms and government systems, including payment processors, IRS systems, Secretary of State filing portals, document-signing platforms, and cloud storage providers. We are not responsible for outages, delays, rejections, or errors caused by third parties; government processing times; or IRS or state decisions beyond our control.
14. Disclaimer of Warranties
The Site and Services are provided "AS IS," "AS AVAILABLE," and without warranties of any kind, including availability, accuracy, completeness, speed of processing, third-party system reliability, or acceptance of filings by any government agency. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
15. Limitation of Liability
To the fullest extent permitted by law, CORPIUS is NOT liable for indirect, incidental, special, punitive, or consequential damages; lost profits or revenue; IRS or state penalties caused by client errors; delays due to missing or incorrect client documents; government rejections or processing delays; technical interruptions or data-loss incidents; or actions of third-party vendors.
Maximum Damages Cap: In all cases, CORPIUS's total liability shall not exceed the amount paid by the client for the specific Service.
16. Indemnification
You agree to indemnify and hold harmless CORPIUS, its officers, contractors, affiliates, and employees from all claims, damages, costs, penalties, and liabilities arising from your use of the Services, your breach of these Terms, inaccurate or fraudulent documents you provide, misuse of CORPIUS tools, or governmental penalties resulting from your information.
17. Data Privacy & Security
Your privacy is governed by our Privacy Policy, which is incorporated into these Terms. CORPIUS uses encryption, secure servers, controlled access, and monitoring to protect your information.
18. Account Termination
We may terminate or suspend your access to the Site or Services for violations of these Terms, suspicion of fraudulent activity, abusive behavior, repeated chargeback attempts, security concerns, or failure to pay for Services. Termination does not relieve you of outstanding financial obligations.
19. Governing Law & Jurisdiction
These Terms are governed by the laws of the United States and applicable state law. Any dispute will be litigated exclusively in courts located in the applicable jurisdiction.
20. Dispute Resolution & Complaints Procedure
20.1 Informal Resolution
Before initiating litigation, you agree to attempt resolution by contacting [email protected]. If not resolved, disputes may proceed to mediation, arbitration (if both parties agree), or court litigation. We reserve the right to pursue legal remedies for fraud, intellectual-property violations, or breach of contract.
20.2 Formal Complaints
If you are dissatisfied with our Services, you may file a formal complaint by emailing [email protected] with the subject line "Formal Complaint." Include your account details, order number, nature of the complaint, and desired resolution. We will acknowledge receipt within 2 business days and provide a written response within 10 business days. If the issue remains unresolved, you may pursue mediation or legal action per Section 20.1.
